Terms of Service

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to keep it up to date. Notify us promptly of any unauthorized use of your account or any other breach of security.

You agree to use the Services only for lawful purposes and in accordance with these terms. You may not misuse the Services, interfere with their normal operation, or attempt to access them using a method other than the interfaces and instructions we provide.

You may not use the Services to develop a competing product, reverse engineer any part of the platform, or upload content that is unlawful, infringing, harmful, or that violates the rights of others.

The Services, including all software, models, designs, text, and branding, are owned by Alpheric AI or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these terms.

You retain ownership of the content and data you submit to the Services. You grant us a limited license to process that content solely to provide and improve the Services, as described in our Privacy Policy.

Certain Services are offered on a paid or subscription basis. You agree to pay all applicable fees as described at the time of purchase. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which are your responsibility.

We may change our pricing from time to time. Where required, we will provide advance notice of any changes that affect an active subscription.

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. AI-generated output may be inaccurate, incomplete, or unsuitable for your particular purpose, and should be reviewed by a qualified person before being relied upon.

To the fullest extent permitted by law, Alpheric AI disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Alpheric AI and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of the Services.

Our total aggregate liability for any claim relating to the Services will not exceed the amount you paid to us for the Services in the twelve months preceding the event giving rise to the claim.

You may stop using the Services at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if continued provision of the Services is no longer commercially viable.

Upon termination, the rights granted to you under these terms will end, while sections that by their nature should survive — such as ownership, disclaimers, and limitation of liability — will remain in effect.

We may update these terms from time to time to reflect changes in our Services or for legal and regulatory reasons. When we make material changes, we will update the date at the top of this page and, where appropriate, provide additional notice.

Your continued use of the Services after the changes take effect constitutes your acceptance of the revised terms.

Alpheric AI is a product of Alpheric Consultants Private Limited, a company incorporated in India under Corporate Identity Number (CIN) U85500UP2023PTC187437. Alpheric Consultants Private Limited is the entity that contracts with you and is responsible for personal data processed through the Alpheric AI website and platform, unless a separate written agreement states otherwise.

References to Alpheric AI, Atlas, and 1Desk mean products operated by Alpheric Consultants Private Limited.

Where you have signed a separate written agreement with us -- a master services agreement, enterprise order form, or data processing agreement -- that agreement governs to the extent it conflicts with these terms.

In the event of a conflict, the order of precedence is: the signed agreement, then any order form or statement of work executed under it, then these terms.

Each party may receive information the other treats as confidential. Each party agrees to protect the other's confidential information with at least the care it applies to its own, and to use it only to perform its obligations.

These obligations do not apply to information that is publicly available through no fault of the receiving party, was lawfully known before disclosure, or is independently developed without reference to the disclosing party's information.

You retain all rights in the data you submit to the platform. We process it to provide the services, and in accordance with our privacy policy and any data processing agreement in place.

We do not use customer data to train models that serve other customers. Where enterprise deployment options are in use, the scope of processing is defined by the applicable agreement.

You agree to indemnify and hold Alpheric Consultants Private Limited harmless from third-party claims arising out of your unlawful use of the services, your violation of these terms, or your infringement of a third party's rights.

We will notify you of any such claim, allow you to control the defence with counsel of your choosing, and cooperate reasonably at your expense.

These terms are governed by the laws of India, without regard to conflict of law principles. The courts at Noida, Uttar Pradesh have exclusive jurisdiction over any dispute arising out of or in connection with them.

The parties will attempt in good faith to resolve any dispute through discussion before commencing proceedings. Nothing in this clause prevents either party from seeking urgent interim relief.

We acknowledge complaints within 48 hours of receipt and aim to resolve them within 30 days, or to explain the reason for any delay and the expected timeline. Complaints relating to personal data are handled under the process described in our privacy policy.

You may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.
